Clarity Capital provides a digital platform that facilitates marketing and related services for a network of attorneys and legal professionals (“Law Firms”) by allowing those Law Firms to promote their services to potential clients. The platform enables Users to submit inquiries, connect with legal professionals, and receive information about legal services. Clarity Capital does not provide legal services and is not a law firm. The legal advice and services are provided solely by the Law Firms listed on the platform, subject to their individual engagement agreements with Users.

3. No Legal Advice

Clarity Capital is not a law firm and does not offer legal advice, representation, or endorsements of any particular Law Firm. All information provided on the platform, including content about legal issues or Law Firms, is for general informational purposes only and should not be interpreted as legal advice. Users should consult directly with a licensed attorney for legal advice or representation.

4. User Responsibilities

Users who utilize Clarity Capital to seek legal services must:

· Provide accurate and truthful information when submitting inquiries or engaging with Law Firms.

· Acknowledge that Clarity Capital is not responsible for any legal outcomes resulting from communications or engagements with Law Firms.

· Understand that submission of an inquiry or contact form does not establish an attorney-client relationship between the User and the Law Firm.

5. Law Firm Responsibilities

Law Firms using Clarity Capital must:

· Comply with all applicable local, state, and federal laws, including ethical rules regarding legal advertising and solicitation.

· Provide accurate, truthful, and non-misleading information about their services, credentials, and availability.

· Ensure that any engagement with potential clients adheres to ethical standards and confidentiality requirements.

6. Information Collection

Clarity Capital refers clients to Law Firms by collecting inquiries from Users seeking legal services and forwarding them to the Law Firms. The Law Firms acknowledge that we make no representations or guarantees regarding the volume or quality of leads. Law Firms are solely responsible for following up on leads, evaluating potential clients, and determining the legal merits of any particular case.

7. Intellectual Property

All content, logos, designs, trademarks, and materials displayed on Clarity Capital are the property of Debt Resolution Solutions or its licensors and are protected by copyright and trademark laws. Users and Law Firms may not use, reproduce, distribute, or modify any content from the platform without our prior written consent.

8. Payments and Fees

Certain features of the platform, including lead generation services, may be offered for a fee to Law Firms. Payment terms, pricing, and billing policies will be outlined in separate agreements between Clarity Capital and each Law Firm. Failure to make timely payments may result in suspension or termination of services. Users accessing the platform to connect with Law Firms do not pay any fees for using the platform unless otherwise specified.

9. Third-Party Content

Clarity Capital may contain links to third-party websites or resources. We are not responsible for the content, products, or services provided by these third-party sites. Access to third-party websites via our platform is at your own risk, and we encourage Users to review the terms and privacy policies of any third-party site before engaging with them.

10. Confidentiality and Privacy

Clarity Capital collects certain personal information from Users and Law Firms to facilitate lead generation and communications. All data collection and use are governed by our Privacy Policy. Users and Law Firms are responsible for protecting any confidential or sensitive information shared through the platform, and Clarity Capital disclaims any liability for unauthorized disclosure of such information.

11. Limitation of Liability

To the fullest extent permitted by law, Clarity Capital shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from or related to the use of our services. This includes, but is not limited to, damages for loss of profits, revenue, data, or legal opportunities. In no event shall our total liability to any User or Law Firm exceed the amount set forth in any separate agreement between the Law Firm and Clarity Capital.

12. Indemnification

Users and Law Firms agree to indemnify and hold harmless Clarity Capital, its officers, employees, and agents from and against any claims, liabilities, damages, costs, or expenses (including attorney’s fees) arising out of or related to:

· Any breach of these Terms.

· User or Law Firm’s use of the platform.

· Claims of false or misleading advertising by Law Firms.

· Any disputes between Users and Law Firms, including legal malpractice claims.

· For any claims outlined in any separate agreement between a Law Firm and Clarity Capital.

13. Termination of Services

Clarity Capital reserves the right to terminate or suspend access to the platform for any User or Law Firm at our sole discretion, with or without cause, and without prior notice. Law Firms may also terminate their use of the platform upon providing written notice in accordance with any agreements in place.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of the platform shall be resolved in California.

15. Dispute Resolution

Any disputes arising under these Terms or from the use of the platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration will take place in Orange County, California, and the arbitrator’s decision will be final and binding.

16. Miscellaneous

· Severability: If any provision of these Terms is deemed unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect.

· Waiver: Any waiver of a breach of these Terms will not constitute a waiver of any subsequent breach.

· Entire Agreement: These Terms, together with the [Privacy Policy] and any additional agreements with Law Firms, constitute the entire agreement between you and [Platform Name] regarding the use of the platform.
